1. Acceptance of Terms
By accessing or using TeamLearn Canada's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services. These terms constitute a legally binding agreement between you (or the business entity you represent) and TeamLearn Canada.
2. Service Description
TeamLearn Canada provides online course access through team licensing arrangements to Canadian businesses. Our services include:
- Access to structured online learning programs
- Team dashboards for progress tracking
- Customer support during Canadian business hours
- Course materials and resources
3. Licence Grant and Restrictions
3.1 Limited Licence: Upon purchase of a team licence, we grant you a non-exclusive, non-transferable, limited licence to access and use our online courses for the number of seats purchased.
3.2 Authorized Users: Licences are valid only for employees or contractors of the licensed organization. Each user must be uniquely identified and may not share login credentials.
3.3 Prohibited Uses: You may not:
- Resell, sublicense, or distribute course access to third parties
- Download, copy, or redistribute course materials without written permission
- Use automated systems to access or scrape content
- Exceed the number of licensed seats
- Reverse engineer or attempt to extract source code
4. Payment Terms
4.1 Pricing: All prices are quoted in Canadian dollars (CAD) and are subject to applicable taxes.
4.2 Payment: Payment is due within 30 days of invoice date unless otherwise agreed in writing.
4.3 Late Payment: Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower.
4.4 Refunds: Refund policies will be specified in your licensing agreement.
5. Term and Termination
5.1 Licence Term: Licences are granted for the term specified in your agreement, typically on an annual basis.
5.2 Renewal: Licences may be renewed upon mutual agreement and payment of applicable fees.
5.3 Termination for Cause: We may terminate your access immediately if you breach these terms or fail to make timely payments.
5.4 Effect of Termination: Upon termination, all access rights cease immediately, and no refunds will be provided for unused portions of the licence term.
6. Intellectual Property Rights
All course materials, content, trademarks, and intellectual property remain the exclusive property of TeamLearn Canada or our licensors. Your licence does not grant you any ownership rights to course materials.
7. Disclaimers and Limitation of Liability
7.1 No Guarantees: We provide educational services "as is" without warranties of any kind. We do not guarantee specific learning outcomes, performance improvements, certification success, or business results.
7.2 Results May Vary: Individual and organizational results from our courses depend on numerous factors beyond our control, including learner effort, aptitude, and application of knowledge.
7.3 Limitation of Liability: To the maximum extent permitted by law, TeamLearn Canada's total liability for any claim arising from these terms or the services shall not exceed the amount paid by you for the specific licence in the 12 months preceding the claim.
7.4 Exclusion of Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business opportunities.
8. Indemnification
You agree to indemnify and hold harmless TeamLearn Canada from any claims, damages, or expenses arising from your breach of these terms or your use of our services.
9. Privacy and Data Protection
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these terms by reference.
10. Modifications to Terms
We reserve the right to modify these terms at any time. Material changes will be communicated to active licence holders. Continued use of our services after changes constitutes acceptance of the modified terms.
11. Governing Law and Jurisdiction
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.
12. Entire Agreement
These Terms of Service, together with your specific licensing agreement and our Privacy Policy, constitute the entire agreement between you and TeamLearn Canada regarding our services.
